How automators and partners earn, get paid, and what we expect in return.

Overview
This Agreement governs your participation in the SmashOne Automator & Partner Programme. An "Automator" sets up and manages SmashOne for clients and/or refers new customers. You take part as an independent contractor — this Agreement does not create employment, agency or partnership.

1. Enrollment
You join through the partner cabinet (partners.smashone.ai) and must provide accurate identity and payout details. We may decline or revoke enrollment.

2. The three earning modes
The Automator role has three modes: (i) seller-and-setup — you find the client and configure the Service; (ii) setup-only — you configure for a client referred by someone else; (iii) referrer-only — you refer a customer without performing setup.

2a. Certification
Before setting up the Service for clients (Paths 1 and 3), you must complete the SmashOne automator certification in the partner cabinet. We may require re-certification when the Service changes materially. Referrer-only participation does not require certification.

3. Commission structure
Commissions follow the published pricing (base €99/month; one-time setup fee €199 charged on Day 15). Path 1 (you sell and set up): 70% of the €199 setup fee = €139.30, plus lifetime referral commission of 10% (Level 1) on the client's subscription. Path 3 / Path 4 (setup only, the client was referred by someone else or sourced by SmashOne): 50% of the €199 setup fee = €99.50, with no referral commission for the setup. Referral commission: 10% Level 1 and 5% Level 2 of the monthly subscription (base plus any add-ons), paid for the lifetime of the active subscription, to the referrer who brought the customer. A referral link always preserves the referrer's Level 1 / Level 2 commission. Setup fees apply only where manual setup is performed (Paths 1, 3, 4); self-service customers (Paths 2a, 2b) pay no setup fee.

4. Tracking and attribution
Commissions are based on our tracking of referral links and setup assignments. Where attribution is unclear, our records prevail, applied in good faith.

5. Payout terms
Commissions accrue once the customer is charged and any refund or withdrawal window has passed. Payouts are made through Stripe Connect / Wise to your stated account, subject to a minimum payout threshold and our normal payout schedule.

6. Taxes — independent contractor

You are solely responsible for your own taxes and social contributions. SmashOne does not withhold income tax except where required by law. Where you are not a Polish tax resident, Polish withholding tax (WHT) may be deducted from commissions unless a valid certificate of residence and the applicable double-tax treaty reduce or remove it. As a platform operator, SmashOne may be required to report payouts to automators under DAC7 (Directive (EU) 2021/514) where reporting thresholds are met, and may ask you for the information needed for that report. VAT is handled under the EU VAT / OSS rules as applicable to your status.

7. Marketing rules and required disclosures
When you promote SmashOne you must be truthful and not misleading (EU Unfair Commercial Practices Directive). You must clearly disclose your commercial relationship with SmashOne (for example "partner" or "affiliate") so your audience understands the connection.

8. Brand guidelines
Use the SmashOne name and assets only as permitted, and do not imply you are SmashOne or speak on its behalf.

9. Prohibited content and conduct
The Acceptable Use Policy applies. In addition, you must not make false claims about the Service, guarantee specific results, or use spam to promote it.

10. Lead quality and fraud — no self-referrals
Self-referrals, fake sign-ups, and manufactured or fraudulent leads are prohibited and void the related commissions.

11. Chargebacks and reversals
If a customer's payment is refunded, withdrawn, reversed or charged back, the related commission is reversed and may be deducted from current or future payouts.

11a. Clawback
If a commission is later found to have been paid in error, on a fraudulent or ineligible lead, or on a payment that is subsequently reversed, we may reclaim (claw back) that amount from current or future payouts, or invoice you for it where no future payout is available.

12. Data protection
When you handle the personal data of clients or their customers, you must comply with the GDPR and with our Data Processing Agreement. Personal data accessed through the partner cabinet may be used only to provide the agreed setup and support.

13. Confidentiality
Keep non-public information about SmashOne, its customers and its pricing confidential.

14. Term and termination
Either party may end this Agreement at any time. Commissions already accrued on active subscriptions continue to be paid, subject to Sections 10 and 11, unless this Agreement is terminated for fraud or serious breach.

15. Limitation of liability
SmashOne's liability under this Agreement is limited as set out in the Terms of Service; nothing limits liability that cannot be limited by law.

16. Governing law and venue
This Agreement is governed by the law of Poland. Disputes are subject to the jurisdiction of the competent Polish courts; there is no mandatory arbitration. Mandatory protections you have under the law of your country of residence are preserved (Rome I).
